Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Karatry website at karatry.com and the Karatry application at app.karatry.com (together, the “Service”), provided by Karatry LLC, a New York limited liability company (“Karatry,” “we,” “us”). By creating an account or using the Service, you agree to these Terms. If you are using Karatry on behalf of an organisation, you represent that you have authority to bind it.

1. Accounts

You must provide accurate information and keep your credentials secure. You are responsible for activity under your account and for your team members' use. Notify us promptly of any unauthorised use.

2. Plans, trials & billing

  • Karatry offers one paid plan, Professional, priced per seat monthly or annually, as described on our Pricing page.
  • “Karatry AI” means the AI assistant and the other AI features that run on Karatry's own AI provider account, including reading the documents and photos you upload and AI that runs automatically for your workspace, such as the daily insights digest; AI photo edits and search indexing have their own limits and are not part of it. Each subscription includes $10 of Karatry AI per seat per calendar month (UTC), measured at the AI provider's published list prices (“provider cost”) and pooled across the workspace; for billing, a month's included amount is based on the lower of the paid seat count at the start of that month (or when the subscription started, if later) and when that month is billed. Unused allowance does not carry over. On monthly plans, Karatry AI above the included amount is billed at provider cost plus 30%, rounded up to the whole cent for each month, on a following invoice. On annual plans, Karatry AI above the included amount is never billed; instead, Karatry AI pauses for the rest of the calendar month once the included amount is used.
  • Karatry AI usage during a trial, including an extended trial, is never billed. A subscription is never billed for Karatry AI used in the calendar month in which it ends; a new subscription is billed only for usage from the day it starts. Using your own AI key is free of any Karatry charge, never counts against the included amount, and keeps working when Karatry AI is paused. AI use is also subject to fair-use limits per workspace, such as a daily usage limit.
  • New accounts receive a 30-day free trial of the full product, no card required. If you do not subscribe by the end of the trial, your workspace becomes read-only: existing data remains viewable and exportable, but new business writes are paused until you subscribe. Your data is retained subject to our Privacy Policy.
  • Paid subscriptions renew for successive periods until cancelled. You can cancel anytime; cancellation takes effect at the end of the current billing period, after which the workspace becomes read-only as above. Fees are stated exclusive of taxes unless noted.
  • We offer a 30-day money-back guarantee as described on the Pricing page. Except as stated there or required by law, fees are non-refundable.
  • We may change prices with reasonable advance notice; changes apply to the next billing period.

3. Acceptable use

You agree not to: (a) break the law or infringe others' rights using the Service; (b) attempt to disrupt, reverse-engineer, or gain unauthorised access to the Service; (c) upload malware or unlawful content; or (d) resell or provide the Service to third parties except your own authorised users.

4. Your data & content

You retain all rights to the business data and content you put into the Service (“Your Content”). You grant us a limited licence to host and process Your Content solely to provide the Service. You can export Your Content to CSV at any time and request deletion. We handle personal data as described in our Privacy Policy.

5. AI features

The Service includes an AI assistant and AI features that run automatically, such as the daily insights digest. AI output may be inaccurate or incomplete and should be reviewed before you rely on it. Actions that move money or leave your organisation require human confirmation. You are responsible for decisions you make using AI output. Karatry AI is included and billed as described in section 2; if you use your own AI key, your provider bills you under its own terms and Karatry charges nothing for that usage.

6. Intellectual property

The Service, including its software, design, and trademarks, is owned by Karatry and its licensors. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service; no other rights are granted.

7. Third-party services & payments

The Service may integrate with third-party tools (for example, AI providers and payment processors). Your use of those tools may be subject to their own terms, and we are not responsible for third-party services.

Payments you collect from your own customers. Karatry lets you connect your own Stripe account so you can invoice and take payment from your customers. Those payments are processed by Stripe under your own agreement with Stripe, and settle directly into your Stripe account. Karatry never receives, holds, or transmits your customers' funds, and is not a party to those transactions. You remain solely responsible for the goods and services you sell, for your pricing and taxes, and for refunds, chargebacks, and disputes. Connecting a Stripe account means you accept Stripe's terms and authorise Karatry to read limited payment metadata — such as payment status, amounts, and payout records — so your Karatry records stay in sync. Stripe may suspend or close a connected account under its own terms, and we may change or discontinue this integration.

Fees. Your Karatry subscription is billed separately from the payments you collect, and Stripe's processing fees are charged to your connected account under your agreement with Stripe. Karatry does not currently take a percentage of the payments you collect; if that changes, we will give advance notice under section 11.

8. Warranties & disclaimers

The Service is provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free.

9. Limitation of liability

To the maximum extent permitted by law, Karatry will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the 12 months before the claim.

10. Termination

You may stop using the Service and cancel anytime. We may suspend or terminate access if you materially breach these Terms or use the Service in a way that risks harm. On termination you may export Your Content for a reasonable period, after which it may be deleted.

11. Changes to these Terms

We may update these Terms from time to time. We will post the updated version here and update the “Last updated” date; material changes will be communicated where appropriate. Continued use after changes take effect constitutes acceptance.

12. Governing law & contact

These Terms are governed by the laws of the State of New York, without regard to conflict-of-laws rules. You and Karatry agree that the state and federal courts located in New York State have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and each party consents to personal jurisdiction there.
